These Terms of Service (“Terms”) govern your use of the HMaking website (www.hmaking.com) and the manufacturing services provided by Shanghai Hengming Mold Co., Ltd. (“HMaking,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services Overview
HMaking provides precision manufacturing services including but not limited to:
- CNC Machining (milling, turning, drilling, 3.4.5-axis machining)
- Injection Molding
- Aluminum Die Casting
- Sheet Metal Fabrication
- Mold Making and Tooling
- Surface Treatment and Finishing
- Assembly Services
2. Quotation & Order Process
- Quotations: All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change based on material costs, design modifications, or quantity adjustments.
- Order Confirmation: An order is considered confirmed only upon receipt of a written purchase order (PO) or email confirmation from the customer, and acknowledgment from HMaking.
- Design Responsibility: The customer is responsible for the accuracy of all technical drawings, CAD files, specifications, and tolerances provided. HMaking will manufacture parts according to the specifications provided.
- DFM Feedback: HMaking may provide Design for Manufacturability (DFM) feedback and suggestions. Any design changes must be approved by the customer in writing before production begins.
3. Pricing & Payment
- Currency: All prices are quoted in USD unless otherwise agreed upon.
- Payment Terms: Standard payment terms are 50% deposit upon order confirmation and 50% balance before shipment, unless a separate credit agreement has been established.
- Tooling Costs: Mold and tooling costs are quoted separately from part prices. Tooling is owned by the customer upon full payment. Tooling stored at HMaking’s facility will be maintained for a period of 2 years from the last production run.
- Additional Charges: Any changes to specifications, materials, quantities, or delivery requirements after order confirmation may result in additional charges and lead time adjustments.
4. Lead Times & Delivery
- Lead Times: Estimated lead times are provided at the time of quotation and begin from the date of order confirmation and deposit receipt. Lead times are estimates and may vary depending on material availability and production scheduling.
- Shipping: HMaking offers worldwide shipping via DHL, FedEx, UPS, and sea freight. Shipping terms (FOB, CIF, DDP, etc.) will be specified in the quotation.
- Delays: HMaking will notify the customer promptly of any anticipated delays. We are not liable for delays caused by force majeure events, material shortages, or circumstances beyond our reasonable control.
5. Quality Assurance
- Standards: All parts are manufactured in accordance with ISO 9001:2015 quality management standards. Additional certifications (ISO 14001, TS16949, ISO 45001) are maintained as applicable.
- Inspection: HMaking performs in-process and final inspection on all orders. Inspection reports, including CMM reports, material certificates, and dimensional reports, are available upon request.
- Tolerances: Unless otherwise specified, standard machining tolerances follow ISO 2768 (medium). Tighter tolerances can be achieved as specified in the technical drawings.
- First Article Inspection (FAI): FAI samples are available upon request before full production runs commence.
6. Intellectual Property & Confidentiality
- Customer IP: All designs, drawings, specifications, and technical data provided by the customer remain the exclusive intellectual property of the customer.
- Confidentiality: HMaking treats all customer information as confidential. We will not disclose, share, or use customer designs or data for any purpose other than fulfilling the customer’s order.
- NDA: Non-Disclosure Agreements (NDAs) are available and will be executed upon request before any technical information is shared.
- No Reverse Engineering: HMaking will not reverse engineer, copy, or replicate customer designs for any third party or for our own use.
7. Returns, Refunds & Warranty
- Quality Guarantee: HMaking guarantees that all parts will conform to the agreed-upon specifications and tolerances. If parts are found to be non-conforming, we will, at our option, repair, replace, or refund the affected parts.
- Claims Period: Quality claims must be submitted within 30 days of receiving the shipment, accompanied by detailed documentation including photographs, measurements, and inspection reports.
- Exclusions: Claims will not be accepted for issues arising from customer-provided design errors, improper use, unauthorized modifications, or normal wear and tear.
- Custom Parts: Due to the custom nature of manufactured parts, returns are only accepted for quality non-conformance, not for order cancellation or change of mind.
8. Limitation of Liability
To the maximum extent permitted by applicable law, HMaking’s total liability for any claim arising from or related to our services shall not exceed the total amount paid by the customer for the specific order in question. HMaking shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, production delays, or business interruption.
9. Website Use
- The content on this website, including text, images, graphics, and technical information, is provided for general informational purposes and is the property of HMaking.
- You may not reproduce, distribute, or commercially exploit any content from this website without our prior written consent.
- We strive to keep website information accurate and up-to-date, but we do not warrant the completeness or accuracy of all information presented.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or in connection with these Terms or our services shall first be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Shanghai for arbitration.
11. Modifications to Terms
HMaking reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services after any modifications constitutes acceptance of the updated Terms.
